Entrada Therapeutics, Inc. (the “Entrada,” “we,” “us,” or “our”) respects your privacy and we want you to be familiar with how we collect, use, share, or otherwise process, your Personal Information. This Privacy Notice is meant to help you understand our privacy practices when you visit and interact with us online, such as through our websites (the Entrada Therapeutics website, entradatx.com, as well as the MNGIE website, MNGIE.com; together the ”Sites.”), email, mobile applications, and when you participate in our programs, services, or have other business interactions with us that reference this Privacy Notice, collectively referred to as “Services.”

COLLECTING AND USING YOUR PERSONAL INFORMATION

When you interact with our Sites and Services, we collect Information that alone or in combination with other Information in our possession could be used to identify you (“Personal Information”). Information we collect includes:

  • Information related to [specific app/service/program]
  • Information collected through tracking technology
  • Sensitive Information

The type of Personal Information we collect depends on the nature of your interactions with us, our Sites and our Services. For example, we may collect:

  • Contact Information: First and last name, address, telephone number, email address, and other contact information you choose to provide to us
  • Demographic Information: Age, date of birth, location
  • Professional Information: Professional affiliations, specialty, NPI, education details
  • Information collected through tracking technologies: IP address or other online identifiers

  • Recruit for employment purposes
  • Respond to questions on recruitment to our clinical trials or refer you to specific organizations that may provide information on how to participate in clinical trials or to facilitate clinical trials
  • Address questions related to products in development, or in market
  • Deliver requested information on resources available related to the therapeutic areas or other medical or scientific areas that Entrada provides
  • To develop new products and services
  • Provide marketing information relating to products in development or as marketed by Entrada, its affiliates or licensees
  • To fulfill our obligations to you under an applicable contract or to conduct business with you
  • To provide support-related activities, such as customer service
  • Analyze use of our Sites, or to enhance or develop new features for our Sites
  • To send you promotional materials, such as our newsletter, with your consent

Sensitive Personal Information

In course of offering our Sites and Services, and with your explicit consent, Entrada may also collect and process Personal Information that is of a sensitive nature, including, for example:

  • Information related to your health and medical condition(s)
  • Medical treatments, medications, and test results
  • Information about your insurance
  • Financial information, such as your bank account number for employment credit checks
  • Protected characteristics, such as your gender or ethnicity, should you choose to share this information with us.

We may use this Information, as necessary, to:

  • Provide and manage clinical research opportunities, patient support programs and other Services we offer
  • Process and manage safety and quality concerns
  • Evaluate candidates for employment purposes
  • Conduct other legitimate business activities, as allowed by applicable law.

We will only process Sensitive Personal Information when we have your express consent, or as required or permitted under applicable law, for example, when necessary to comply with applicable law, respond to legitimate requests from government authorities, including authorities that may be outside of your country of residence, to protect or defend our legal interests, and if necessary, to protect the safety of our employees and other stakeholders.

Other Information We Collect

When you visit, use, and interact with our Sites and Services, we may collect Information that does not directly identify you but allows us to understand how you interact with our Sites and Services. This Information may include Information about the device and software you use to interact with Entrada, such as your:

Entrada does not use cookies for targeted marketing purposes, or otherwise sell or share your personal information for marketing purposes. We use cookies and similar technologies (such as web beacons, tags, scripts and device identifiers) to collect and store analytics and other Information when you use our Sites. The cookies we use include both first party and third-party cookies.

  • Cookies, or similar technologies, may provide us the following Information:
    The type of web browser software you use
  • The name of the domain from which you access the Internet (including client and server IP addresses, usernames, ports, queries, or other status-related Information)
  • The Internet address of the website from which you linked directly to our Sites
  • The date and time you access our Sites
  • Which pages you have visited on our Sites

We use Google Analytics, a web analytics service provided by Google, Inc. (“Google”). Google Analytics uses cookies and similar technologies to collect and analyze information about use of our website and report on activities and trends. Aggregated Information

We may aggregate Personal Information and use the aggregated information to analyze the effectiveness of our Sites, to improve and add features to our Sites, and for other similar purposes. In addition, from time to time, we may analyze the general behavior and characteristics of users of our Sites and share aggregated information like general user statistics with prospective business partners. We may collect aggregated information through the Sites, through cookies, and through other means described in this Privacy Notice.

SHARING AND DISCLOSURE OF PERSONAL INFORMATION

In certain circumstances we may share the categories of Personal Information described above without further notice to you, unless required by applicable law, with the following categories of third parties:

  • Vendors and Service Providers: To assist us in meeting business operations needs and to perform certain services and functions, we may share Personal Information with vendors and service providers, including providers of hosting services, cloud services, and other information technology services providers, email communication software and email newsletter services, and analytics services. Pursuant to our instructions, these parties will access, process, or store Personal Information in the course of performing their duties to us. When we share Personal Information with Service Providers, we require that they use your Information only for the purposes we've authorized, and for the limited reasons explained in this Privacy Notice. We also enter into agreements with these Service Providers to require them to protect your Personal Information appropriately.
  • Business Transfers: If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, sale of all or a portion of our assets, or transition of services or the rights to conduct certain trials or studies to another provider (collectively a “Transaction”), your Personal Information and other Information may be shared in the diligence process with counterparties and others assisting with the Transaction and transferred to a successor or affiliate as part of that Transaction along with other assets.
  • Legal Requirements: If required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, including to meet national security or law enforcement requirements, (ii) protect and defend our rights or property, (iii) prevent fraud, (iv) act in urgent circumstances to protect the personal safety of users of the Sites, or the public, or (v) protect against legal liability.
  • Affiliates: We may share Information collected by the Sites with businesses that are legally part of the same group as Entrada, or that become part of that group (“Affiliates”).

EXERCISING YOUR RIGHTS

You may contact us at privacy@entradatx.com to request access to the Personal Information we have collected about you, or to update or correct Personal Information that you have provided to us.

You may have the right to request access to, or deletion of, your Personal Information under state law. These rights are not absolute and may only apply in certain circumstances. This means that we may be unable (e.g., due to legal requirements) or not obligated to satisfy your request.

In some cases, we may need to collect additional Information from you in order to verify your identity before providing you access to or deleting your Information, such as a government- issued identification. Entrada will not discriminate against you for exercising your rights, but we may not be able to provide you with Services that you have requested if we are not able to use your Information.

If you have provided permission (consent) to Entrada to process your Personal Information, you have the right to withdraw your consent for such processing at any time by contacting us at privacy@entradatx.com. Please note that you can always unsubscribe from receiving emails by using the ‘Unsubscribe'-link provided in the emails you receive from us.

RETAINING YOUR INFORMATION

We will retain your Personal Information for the time-period required or allowed by applicable law. Otherwise, we keep your Personal Information for as long as reasonably necessary to serve the purpose(s) for which it was collected.

CHILDREN

Our Sites and Services are not directed to children who are under the age of 18. Entrada does not knowingly collect Personal Information from children under the age of 18. If you have reason to believe that a child under the age of 18 has provided Personal Information to Entrada please contact us and we will endeavor to delete that Information from our databases.

LINKS TO OTHER WEBSITES

Our Sites and Services may contain links to other websites not operated or controlled by Entrada, including social media services (“Third-Party Sites”). The Information that you share with Third-Party Sites will be governed by the specific privacy notices and terms of service of the Third-Party Sites and not by this Privacy Notice. By providing these links we do not imply that we endorse or have reviewed these sites. Please contact the Third-Party Sites directly for information on their privacy practices and policies.

SECURITY

Please be aware that your use of our Sites and Services is at your own risk. Entrada implements commercially reasonable technical, administrative, and organizational measures to protect Personal Information both online and offline from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no Internet or email transmission is ever fully secure or error free.

INTERNATIONAL USERS

Our Sites and Services are controlled and operated by Entrada in the United States. The Sites are not intended for use outside the United States. By using our Sites and Services, your Personal Information may be stored and processed in any country where we have facilities or in which we engage Service Providers. We will only transfer your Personal Information where we have established a legal basis, but you should not use our Sites and Services if you do not want your Personal Information potentially transferred, or otherwise processed, in countries outside of your country of residence, which may have data protection rules that are different from those of your country. In certain circumstances, courts, law enforcement agencies, regulatory agencies or security authorities in those other countries may be entitled to access your Personal Information. If you are located in the EEA, your Personal Information (Personal Data) may be transferred to our affiliates or service providers in non-EEA countries that are recognized by the European Commission as providing an inadequate level of data protection according to EEA standards.

Our business, Sites and Services may change from time to time. As a result we may change this Privacy Notice at any time. When we do, we will post an updated version on this page, unless another type of notice is required by the applicable law.
